MANUFACTURERS ALLIANCE MEMBERSHIP AND PARTICIPATION TERMS & CONDITIONS AGREEMENT

These Membership and Participation Terms and Conditions (“Terms and Conditions” or “Agreement”) constitute a legal Agreement between you/your organization and the Manufacturers Alliance/MAPI, Inc., a not-for-profit 501(c)(6) corporation (“Manufacturers Alliance”), which sets forth the terms and conditions of Manufacturers Alliance membership. You understand that the rights of Manufacturers Alliance membership and participation, including the right to identify membership, begin only upon Manufacturers Alliance’s receipt of your membership dues payment and/or event registration, whichever is applicable. Each Manufacturers Alliance Member as well as participants in Manufacturers Alliance activities and events (“Manufacturers Alliance Member/Participant”), whether Individual or Corporate, and including Corporate Members’ employees, officers and directors, agrees to abide by these Terms and Conditions, as set forth below. Manufacturers Alliance may change the Terms and Conditions at any time with or without notice and each Member’s and participant’s continued participation in Manufacturers Alliance shall be considered acceptance of such changes. Failure to comply with Manufacturers Alliance Terms and Conditions may result in the suspension or termination of Manufacturers Alliance membership and/or participation, such suspension or termination to be determined in the sole and absolute discretion of Manufacturers Alliance. Additionally, Manufacturers Alliance may pursue all available legal and equitable remedies.

All of the Terms and Conditions provided herein apply in full force and effect to any and all Manufacturers Alliance Members and Manufacturers Alliance Participants, and at any and all Manufacturers Alliance-sponsored events, activities, meetings, conferences, and services, regardless of the location, forum or venue, and whether in-person, electronic, or virtual.

TERMS AND CONDITIONS

  1. MEMBERSHIP
    1. Definitions
      1. “Member” – A Manufacturers Alliance “Member” is an individual or Corporation who meets Manufacturers Alliance Membership Eligibility requirements and who pays annual membership dues.
      2. “Participant” – A Manufacturers Alliance “Participant” is any individual who participates in any Manufacturers Alliance-sponsored event, activity, meeting, conference, and/or service, whether in-person or virtual, whether paid or unpaid, and whether a “Member” or not.
      3. “Activities” and “Services” – Manufacturers Alliance hosts a variety of events, activities, meetings, conferences and services throughout the year. While events, meetings and conferences are self-explanatory, “activities” and “services” contemplate any Manufacturers Alliance-sponsored activity, program, gathering or the like, and include but are not limited to such items as webinars, roundtables, virtual roundtables, blogs, online communities, and online chats.  
    2. Membership Eligibility
      Manufacturers Alliance membership is open to corporations, and employees of those corporations, who operate as “manufacturers” and who are generally categorized as “manufacturers” of a product or products. Corporations and other entities that operate separate subsidiaries or that have affiliates, utilize multiple brand names, and/or service separate Product categories may join Manufacturers Alliance as separate members, but must pay dues for each separate member. Each member corporation with a group of related members with common ownership and/or control may only have one representative be elected to the Manufacturers Alliance Board of Trustees at any given time. Manufacturers Alliance reserves the right to establish member categories with specific membership criteria and to enforce that membership criteria for participation purposes.
    3. Membership Term
      A Manufacturers Alliance membership begins on the date a Manufacturers Alliance membership fee is paid and continues for one (1) year thereafter (“Initial Term”).  Each subsequent term shall begin on that anniversary date, and shall continue for additional one (1) year terms (“Renewal Term”) for as long as the membership fees are paid. Manufacturers Alliance shall send membership renewal materials to its Members at least thirty (30) days prior to the Member’s membership renewal date. Renewal materials will be sent via email to the Member’s email address provided on its Membership Application and/or Membership record.  
    4. Dues and Fees
      Manufacturers Alliance members and participants shall pay dues, fees and other assessments applicable to the member’s class of membership, as Manufacturers Alliance establishes from time to time. Membership dues are nonrefundable. Manufacturers Alliance may establish reasonable additional fees or charges for participation in meetings or for other benefits of membership. Manufacturers Alliance members and participants bear their own costs and expenses for participation in Manufacturers Alliance, such as travel, employee compensation, and incidental expenses. Manufacturers Alliance, at its sole discretion, may increase membership dues upon the expiration of a Member’s Initial Term or Renewal Term.
    5. Online Payment Center Terms and Conditions
      1. By accessing or using Manufacturers Alliance’s online payment service, Manufacturers Alliance Member/Participant agrees to be bound by all applicable terms and conditions. Manufacturers Alliance may modify the terms and conditions at any time, with or without notice. The Manufacturers Alliance online payment service is provided to Manufacturers Alliance Members/Participants to facilitate payment of dues, sponsorships, meeting fees, and other products and services. Individuals using Manufacturers Alliance’s online payment service will receive a confirmation once payment is received.
      2. Manufacturers Alliance uses third party services for electronic payment processing.
      3. Manufacturers Alliance will not be liable for any deficiencies in the accuracy, completeness, availability, privacy, security or timeliness of payment information sent via third party online payment service(s). Manufacturers Alliance will not be liable for any damages of any kind arising from the use of this online payment site, including, but not limited to, direct, indirect, incidental, consequential, exemplary, and punitive damages. Manufacturers Alliance will not be liable for any breach of any individual’s personal or credit card information resulting from the interception of such information during its transmission to Manufacturers Alliance. Individuals using the Manufacturers Alliance online payment service expressly agree that use of this service is at the individual’s sole risk. Individual agrees that s/he will not intentionally provide false information when accessing or using Manufacturers Alliance’s online payment service.
      4. Manufacturers Alliance is committed to individual privacy and will not distribute information sent via this service to third parties, other than to the third party for Manufacturers Alliance payment processing. Manufacturers Alliance’s finance and membership departments alone have access to data collected and will not store any personally identifiable information, including credit card information.
      5. For questions regarding using this online payment service, please contact finance@manufacturersalliance.org.
    6. Use/Disclosure of Contact Information
      Manufacturers Alliance collects personal contact information, including, without limitation, names, titles, addresses, email addresses, phone numbers, social media account information, and other such personal information, pertaining to its members and event participants. Manufacturers Alliance may disclose any such information provided by a Manufacturers Alliance Member/Participant to its other Members, other participants, speakers, exhibitors, sponsors and/or partners. By providing your contact information to Manufacturers Alliance, you have consented to the use and disclosure of that information in this manner.  If you do not want Manufacturers Alliance to use or disclose your contact information as described herein, do not provide it. Note that not providing contact information may result in you being unable to access some or all of Manufacturers Alliance’s services.
       
  2. INTELLECTUAL PROPERTY AND MAPI CONTENT
    1. Content and Copyright Notice
      1. Manufacturers Alliance owns all rights, title and interest in its Manufacturers Alliance and Manufacturers Alliance Foundation websites, all content on the Manufacturers Alliance and Manufacturers Alliance Foundation websites (unless the content has been created by a Third Party and licensed to Manufacturers Alliance for its use), its “Manufacturing Hub” online communities, as well as all other content created or otherwise owned by Manufacturers Alliance (“Manufacturers Alliance Content”). Manufacturers Alliance Content is available to Members for their personal and non-commercial use. Any redistribution or reproduction of part or all of the Manufacturers Alliance Content in any form is prohibited other than the following:
        1. Manufacturers Alliance Members/Participants may print or download extracts of Manufacturers Alliance Content for personal and non-commercial use only.
        2. Manufacturers Alliance Members/Participants may make copies of Manufacturers Alliance Content for individual third parties for their personal and non-commercial use, but only if Manufacturers Alliance Members/Participants and such third parties acknowledge that Manufacturers Alliance is the source of the material and do not remove or alter any copyright notice in the Manufacturers Alliance Content.
      2. Manufacturers Alliance Members/Participants may not, except with Manufacturers Alliance's express written permission, distribute or commercially exploit Manufacturers Alliance Content nor transmit it or store it in any other website or other form of electronic retrieval system.
    2. Confidential Information
      Certain Manufacturers Alliance Content may be marked “Confidential” or “Proprietary.” In that event, you agree to maintain the confidentiality of such content and not disclose or make it available to any third parties.
    3. Manufacturers Alliance Use of Member Contributions and Content
      1. Manufacturers Alliance Members/Participants may contribute to Manufacturers Alliance Content, in various forms including, but not limited to, submitting ideas or content items; participating in Councils, online communities, and/or Manufacturers Alliance events; and/or making presentations, writing articles or blogs, or contributing to surveys, interviews, and/or other research pieces or projects. Manufacturers Alliance Member/Participant hereby fully and irrevocably grants, assigns and conveys to Manufacturers Alliance, unless otherwise agreed upon in advance, all rights, title and interest worldwide in and to all Content conceived, reduced to practice, authored, developed or delivered by Member, Participant, Member’s officers, directors, employees, agents and independent contractors acting on Member’s behalf, either solely or jointly with others, including, but not limited to (i) any Content expressly labeled as “Content” or provided with an express statement that it is a contribution to Manufacturers Alliance; (ii) any Content provided to Manufacturers Alliance to be included in Manufacturers Alliance standards, specifications, policies, guidance, reports, analyses, procedures that are published by the Manufacturers Alliance or as part of a larger compilation or identified as a Manufacturers Alliance publication, whether in written or electronic form; or (iii) any Content that is developed in connection with Member’s membership in Manufacturers Alliance, developed in connection with a Manufacturers Alliance Member/Participant’s participation in a Manufacturers Alliance working group, committee, or Council, or developed by Member in connection with Member speaking, making a presentation, contributing to a panel, or otherwise providing content items for or at a Manufacturers Alliance event.
      2. For purposes of this provision, “Content” means images, text, written works, standards, designs, graphics, pictures, business and product names, domain names, corporate names, logos, slogans, inventions (whether or not patentable), processes, formulae, industrial models, specifications, data, databases and data collections, technology, methodologies, computer programs (including all source codes, object codes, firmware, software, development tools, files, records and data and improvements thereof), software and any and all other copyrightable material. Content shall be the exclusive property of Manufacturers Alliance (becoming Manufacturers Alliance Content) and Manufacturers Alliance shall have the right to use the Content, or any part or parts thereof, as it sees fit. Manufacturers Alliance Member/Participant will not seek, and will require its officers, directors, employees, agents and independent contractors acting on its behalf, not to seek, patent, copyright, trademark, registered design or other protection for any rights in any such Content. Manufacturers Alliance Member/Participant agrees that it shall require its personnel, at Manufacturers Alliance’s expense, to take any actions and execute all documents as Manufacturers Alliance may reasonably require to vest in Manufacturers Alliance or its nominees the rights referred to herein and to secure for Manufacturers Alliance or its nominees all right, title and interest in and to the Content.
    4. Release to Use Image, Name and/or Likeness
      1. By virtue of a Manufacturers Alliance Membership, participation in Manufacturers Alliance activities, and/or attendance at a Manufacturers Alliance event, you grant permission to Manufacturers Alliance to use, reproduce and/or distribute your photograph, video image, likeness, and/or audio recording of you for the purpose of publication, promotion, illustration, advertising, and/or trade, in any manner or in any medium to further the purposes of Manufacturers Alliance. You hereby release, acquit and forever discharge Manufacturers Alliance and its legal representatives, including its current and former trustees, agents, officers and employees, from any and all claims and liability relating to said images, video or audio, including but not limited to any claims for invasion of privacy, appropriation of likeness or defamation. Furthermore, you grant permission to use any statements or comments you may make during a MAPI-sponsored event, activity, meeting, conference or service, or during a Manufacturers Alliance-related survey, presentation, interview or lecture, in whole or in part, without your name or company identified, for the purpose of advertising and publicity, without restriction.
      2. Manufacturers Alliance Member/Participant understands and agrees that such photographs, video, audio recordings and/or statements made by Manufacturers Alliance Member/Participant may be placed on the Internet. You also understand and agree that you may be identified by name, title and/or company in printed, Internet or broadcast information that might accompany the photographs, video and/or audio recordings of yourself, and you hereby waive your right to approve any final products and/or postings.
      3. Manufacturers Alliance Member/Participant further agrees that all such images, videos, audio recordings, and any reproductions thereof, and all plates, negatives, recording mediums, digital files, and any derivatives thereof, are and shall remain the property of Manufacturers Alliance, and you waive any and all rights you may have to compensation for the use of the aforementioned items.
    5. Manufacturers Alliance Trademark Use, Conditions & Limitations
      Manufacturers Alliance is the owner of the Marks (as hereinafter defined) and desires to allow Manufacturers Alliance Members/Participants to utilize the Marks only in accordance with the terms and conditions set forth herein. “Marks” shall include the name “Manufacturers Alliance/MAPI, Inc.,” “Manufacturers Alliance,” and the abbreviation “MAPI” and any and all related designs and logos and any modifications or derivations thereof.
      1. Manufacturers Alliance grants to Manufacturers Alliance Members/Participants the non-exclusive, revocable right to use the Marks on presentations, website, or other media, solely for the purpose of identifying him/herself as a member of Manufacturers Alliance. Member shall not use the Marks for any other purpose.
      2. Any reference by Manufacturers Alliance Members/Participants to the Manufacturers Alliance Site, including but not limited to manufacturersalliance.org, shall include a link to such website and any reference to statistics, reports or other materials produced and/or owned by Manufacturers Alliance shall include a reference to any and all of Manufacturers Alliance’s copyright or other ownership interest in the same.
      3. Manufacturers Alliance Members/Participants shall not have the right to sublicense, authorize or enter into agreements with other persons, firms, entities or corporations granting to any of them the right to use the Marks or any other property owned by Manufacturers Alliance.
      4. Unless terminated as provided below, Manufacturers Alliance Member/Participant’s right to use the Marks in accordance herewith shall terminate upon termination of Member’s membership or Participant’s participation in Manufacturers Alliance for whatever reason.
      5. Manufacturers Alliance Members/Participants right to use the Marks in accordance herewith may be terminated by Manufacturers Alliance in the event Manufacturers Alliance determines, in its sole and absolute discretion, that Manufacturers Alliance Member/Participant has failed to comply with the terms and conditions set forth herein. In the event of termination, Manufacturers Alliance Member/Participant shall discontinue use of the Marks within three (3) days of the date of such termination.
      6. Manufacturers Alliance Member/Participant acknowledges and agrees that Manufacturers Alliance is the sole owner of the Marks and that Manufacturers Alliance Member/Participant is estopped from claiming any ownership rights in the Marks or otherwise use any trademarks or service marks that are the same or similar to the Marks.
      7. In the event Manufacturers Alliance Member/Participant becomes aware of (i) any use by third parties that infringes on the Marks, or (ii) any claims by third parties against Manufacturers Alliance Member/Participant’s use of the Marks, s/he shall notify Manufacturers Alliance of such infringement, claim, suit or demand.
      8. Manufacturers Alliance Member/Participant agrees to defend, indemnify and hold Manufacturers Alliance, its officers, directors, employees, agents, representatives, successors and assigns, harmless against all losses, damages or expenses of whatever form or nature, including reasonable attorney’s fees and other costs of legal defense, whether direct or indirect, which they, or any of them, may sustain or incur as a result of Manufacturers Alliance Member/Participant’s use of the Marks.
      9. If any legal action is initiated by either a Manufacturers Alliance Member/Participant or Manufacturers Alliance related to Manufacturers Alliance Member/Participant’s use of the Marks, the prevailing party shall be entitled to recover from the other party reasonable costs and attorneys’ fees in addition to any other relief that may be awarded.
         
  3. STANDARDS OF CONDUCT
    1. Manufacturers Alliance Standards of Conduct
      1. Manufacturers Alliance expects Manufacturers Alliance Members/Participants to be good stewards of Manufacturers Alliance and to demonstrate professional behavior through all interactions with others at Manufacturers Alliance, whether through electronic or online exchanges, or at Manufacturers Alliance-sponsored events. To this end, by accepting Manufacturers Alliance membership and/or by participating in Manufacturers Alliance-sponsored activities, Manufacturers Alliance Members/Participants agree to abide by the following standards of conduct when engaging with others through Manufacturers Alliance. Failure to comply with these standards may result in corrective action, up to and including immediate termination of membership and/or participation, and potential banishment from future Manufacturers Alliance activities for life.
      2. Be professional. Manufacturers Alliance expects Members, Participants, speakers, guests and staff to engage professionally with others at Manufacturers Alliance regardless of the location, venue or forum. At Manufacturers Alliance events, Manufacturers Alliance expects all Members, Participants, speakers, guests and staff to act professionally throughout the event, including social hours, meals, and “off hours” in between official Manufacturers Alliance programs. Manufacturers Alliance Members/Participants, speakers, guests and staff shall refrain from illegal drug use, as well as the overconsumption of medicine and/or alcohol to the point where it impairs their judgment or ability to engage in Manufacturers Alliance events or activities responsibly. Manufacturers Alliance also requires professional, responsible and respectful behavior and commentary throughout its online communities and forums.
      3. Ensure a safe environment. Manufacturers Alliance is committed to a safe, professional environment free from intimidation, fear, violence, harassment, and bullying. Manufacturers Alliance will not tolerate any form of violence, threats of violence, harassment or bullying in the conduct of Manufacturers Alliance business, including verbal, electronic, and physical conduct or threats, whether in person, online or via other electronic means.   
      4. Prohibited conduct includes, but is not limited to:
        1. Any act that results in a physical assault
        2. Making threatening remarks
        3. Behavior or actions that convey the potential for violence or a dangerous lack of self-control (throwing objects, waving fists, shouting, etc.)
        4. Displaying aggressive or hostile behavior that creates a reasonable fear of injury to another person or subjects another individual to emotional distress
        5. The possession, use, and/or sale of weapons, firearms, and/or explosives at Manufacturers Alliance events, except where expressly authorized by Manufacturers Alliance and permitted by state and local laws. This policy applies to all Manufacturers Alliance Members, Participants, attendees, speakers, guests, and staff, including those who have a valid permit to carry a firearm.
        6. Any form of sexual harassment, including but not limited to:
          1. Unwelcome sexual advances, requests for sexual favors, and other verbal or physical conduct of a sexual nature when such conduct has the purpose or effect of unreasonably interfering with an individual’s work performance or full, free and safe participation in a Manufacturers Alliance activity, or creating an intimidating, hostile, or offensive working environment.
        7. Any other form of harassment, including but not limited to:
          1. Verbal, written, or physical conduct that denigrates or shows hostility or aversion toward an individual because of his or her race, color, religion, gender, national origin, age, disability, sexual orientation, genetic factors, or any other characteristic protected by law or that of his or her relatives, friends, or associates, and that: (i) has the purpose or effect of creating an intimidating, hostile, or offensive work environment; (ii) has the purpose or effect of unreasonably interfering with an individual’s work performance; or (iii) otherwise adversely affects an individual’s employment opportunities.
        8. Any form of bullying, which Manufacturers Alliance defines as repeated, unreasonable actions of individuals (or a group) directed towards another individual(s), which are intended to intimidate, degrade, humiliate, or undermine; or which create a risk to the health or safety of the individual(s). This includes verbal, electronic, physical, or by gesturing, and includes conduct such as:
          1. Threatening, humiliating, or intimidating behavior,
          2. Work interference — sabotage — which prevents work from getting done,
          3. Physical or verbal abuse, and/or
          4. Exclusion and ostracism.
      5. Retaliation is prohibited. Manufacturers Alliance prohibits retaliation against any individual who reports discrimination or harassment or participates in an investigation of such reports. Retaliation against an individual for reporting harassment or discrimination or for participating in an investigation of a claim of harassment or discrimination is a serious violation of this policy and, like harassment or discrimination itself, will be subject to corrective action.
         
  4. ANTITRUST
    1. Manufacturers Alliance believes that vigorous, fair competition is essential to the maintenance of the free enterprise system. In addition, strict compliance with federal and state antitrust laws clearly is in the best interest of Manufacturers Alliance and its membership. In connection with any meetings of Manufacturers Alliance member company executives, including related social functions, or other activities, Manufacturers Alliance staff personnel must take reasonable steps to ensure that representatives from its member companies never discuss or agree in actual or apparent restraint of trade to: (1) prices, future prices, pricing or pricing policies (buyers and sellers alike have a legal right to buy and sell in a market untainted by anticompetitive agreements or even informal, unwritten understandings); (2) specific terms or conditions of doing business with customers such as specific credit terms and credit availability, discounts, rebates, warranty terms, return policies, limitations on liability, and so forth (these subjects are viewed by the antitrust authorities as directly or indirectly affecting prices); (3) profits or profit margins; (4) specific market shares of any competitors; (5) the nature of a bid or one’s intent to bid or not to bid for a particular business; (6) a willingness to serve only certain customers or territories, or to build only certain types of products; (7) an intention or willingness not to serve a particular customer, to purchase only from a particular supplier, or to restrict existing or future cooperation with another competitor; and (8) negative or derogatory remarks about any supplier, distributor, or customer.
    2. Manufacturers Alliance takes antitrust very seriously in our “Manufacturing Hub” online communities as well. Messages should not be posted if they encourage or facilitate members to arrive at any agreement that either expressly or impliedly leads to price fixing, a boycott of another's business, or other conduct intended to or resulting in the illegal restriction of free trade. Messages that encourage or facilitate a discussion and/or an agreement about the following subjects are inappropriate: any discussion of current or future prices, discounts, or terms or conditions of sale; salaries; profits, profit margins, or cost data; market shares, sales territories, or markets; allocation of customers or territories; or selection, rejection, or termination of customers or suppliers.
       
  5. LEGAL PROVISIONS
    1. Injunctive Relief and Other Compensation
      You acknowledge that if you breach any obligations under this Agreement, you shall cause damages of an irreparable and continuing nature to Manufacturers Alliance, for which money damages will not provide adequate compensation. Therefore, in addition to any money damages to which Manufacturers Alliance is entitled (which includes Manufacturers Alliance’s right to recover its reasonable attorney’s fees), Manufacturers Alliance also is entitled to an injunction to prohibit your continuing breach of the applicable covenant or otherwise to compel your specific performance under this Agreement. Manufacturers Alliance shall have the right to obtain such injunctive compensation without having to prove any damages or post any bond.  Additionally, in the event of any breach of this Agreement which relates to the use of Manufacturers Alliance’s Name and/or Logo, including but not limited to any Product Representation made in connection therewith, you shall be liable to Manufacturers Alliance for liquidated damages in the amount of $1,000.00 for each day that the breach is continuing. You further agree that these liquidated damages are not a penalty, but rather (a) constitute a reasonable approximation of Manufacturers Alliance’s actual damages which are not certain and which are difficult to measure with accuracy and (b) are proportional to the probable loss to be sustained by Manufacturers Alliance in the event of a breach.
    2. Limitation of Liability
      You agree that you will not sue Manufacturers Alliance for injunctive relief or for any damages on any matter concerning the subject matter of this Agreement. In no event shall Manufacturers Alliance be liable to you or any other for any damages of any type as a consequence of your actions pursuant to this Agreement, whether such actions are authorized or unauthorized pursuant to the terms of this Agreement. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, IN NO EVENT SHALL MANUFACTURERS ALLIANCE OR ITS AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
       
  6. GENERAL PROVISIONS
    1. Enforceability
      If any provision of this Agreement is held invalid or unenforceable, all other provisions shall remain valid, and this Agreement shall be enforced to the full extent allowable under applicable law and a substitute, valid, and enforceable provision most nearly reflecting the original intent shall be developed in place of the invalid provision. No modification to this Agreement is binding, unless in writing.
    2. Governing Law
      This Agreement shall be governed by and construed under, and the legal relations among the parties hereto shall be determined in accordance with, the law of the Commonwealth of Virginia, excluding conflict-of-law principles that would cause the application of the laws of any other jurisdiction. In the event of any dispute that arises out of or is related to your membership in Manufacturers Alliance and/or these Terms and Conditions, you agree to submit to personal jurisdiction in the Commonwealth of Virginia and that the Circuit Court of Fairfax County, Virginia, shall be the sole and exclusive forum for the resolution of any such dispute.
    3. Entire Agreement
      This Agreement is the entire Agreement between you and Manufacturers Alliance relating to the subject matter herein and supersedes all prior and contemporaneous oral or written communications, proposals, and representations with respect to its subject matter, except for the Bylaws which are themselves hereby integrated into and made a part of this Agreement.
    4. Agreement Updates
      Manufacturers Alliance reserves the right to change this Agreement and/or its terms at any time and may eliminate the license granted herein with respect to you individually or all members collectively at any time. Any change to this Agreement and/or its terms shall be effective as of the date of posting to the website or actual notice to you, whichever is earlier.
